TRWD Advances Public-Market Platform for Gentlemen’s Club Ownership and Experiential Hospitality Growth

Tradewinds Universal (OTC: TRWD), a holding company in the experiential hospitality sector, today issued a corporate update highlighting its public-market platform for Gentlemen’s Club ownership, adult nightlife operations, and experiential hospitality growth.

TRWD is building a public-company structure around a sector that has historically been dominated by private operators, family-owned businesses, local nightlife groups, and regional hospitality entrepreneurs. The Company’s strategy is designed to provide a public-market pathway tied to the ownership, management, branding, and consolidation of revenue-producing Gentlemen’s Club and adult nightlife assets.

The Company is advancing this strategy through several active platform-building initiatives, including its strategic alignment with Peppermint Hippo and affiliated brands, the launch of its Club Management Group, the relocation of its corporate headquarters to Las Vegas, the appointment of Peppermint Hippo founder Alan Chang to its Board of Directors, the filing process connected to its $10 million acquisition fund, and continued preparation for the acquisition and integration of revenue-producing Gentlemen’s Club assets.

The U.S. adult nightlife and Gentlemen’s Club sector represents an estimated $8 billion to $10 billion annual market and remains highly fragmented across thousands of independently owned venues. RCI Hospitality Holdings, currently trading on the Nasdaq has served as a public-market reference point for the category, demonstrating that adult hospitality and Gentlemen’s Club assets can operate within a public-company structure. TRWD is now advancing its own platform focused on acquisition, operational management, brand expansion, technology, and long-term venue ownership.

“Most people understand restaurants, casinos, bars, nightclubs, and live entertainment venues as real operating businesses,” said Andrew Read, CEO. “The Gentlemen’s Club industry is part of that same experiential hospitality economy, but most of the sector has remained privately held. TRWD is building a structure intended to bring public-company transparency, operating discipline, and acquisition-based growth to a category that has historically been difficult for the public to access.”

A Platform Built Around Revenue-Producing Assets

TRWD’s strategy is focused on high revenue-producing Gentlemen’s Club assets rather than development-stage concepts. The Company’s objective is to acquire, manage, and scale operating venues with existing customer traffic, local market recognition, licensing infrastructure, trained staff, management experience, and established revenue streams.

The Company believes this distinction is important. TRWD is not attempting to create a new entertainment category. It is building a public-company framework around an existing high revenue producing industry with proven demand, operating locations, repeat customers, and multiple revenue streams.

A modern Gentlemen’s Club platform can include revenue from admission, entertainment, VIP reservations, bottle service, food and beverage, private events, transportation, branded experiences, customer engagement programs, management services, financial services and acquisition-driven consolidation. TRWD believes these revenue channels can become more valuable when organized under a disciplined platform with centralized branding, reporting, technology, and capital access.

“Gentlemen’s Clubs have multiple revenue streams inside one hospitality asset,” said Alan Chang, founder and Chief Executive Officer of Peppermint Hippo and a director of TRWD. “A well-run club is not just a room with entertainment. It is guest service, VIP hosting, bar operations, private events, transportation, marketing, staffing, security, brand management, and financial services. That operating depth is why the category has real revenue potential when it is managed professionally.”

Peppermint Hippo and Las Tóxicas Provide the Operating Foundation

TRWD’s adult hospitality strategy is anchored by its strategic alignment with Peppermint Hippo and affiliated brands, including Las Tóxicas.

Founded in 2018 by Alan Chang, Peppermint Hippo has grown from its original Toledo, Ohio location into one of the fastest-expanding Gentlemen’s Club brands in the United States. The brand’s Las Vegas flagship, located at 1531 S Las Vegas Blvd, opened as the only Gentlemen’s Club on the Las Vegas Strip and recently has become the operational center of TRWD’s strategy.

Peppermint Hippo-branded and affiliated locations include markets such as Las Vegas, Nevada; Reno, Nevada; Toledo, Ohio; Fayetteville, Arkansas; North Little Rock, Arkansas; Neenah, Wisconsin; New Orleans, Louisiana; Pompano Beach, Florida; and Fort Wayne, Indiana. The affiliated Las Tóxicas brand further expands the platform through markets including Las Vegas, Houston, and El Paso.

Together, Peppermint Hippo and its affiliated brands operate over 12 clubs nationwide and generated more than $34 million in revenue in 2025. TRWD believes this revenue base demonstrates the potential of branded Gentlemen’s Club assets when supported by experienced management, recognizable concepts, market-specific execution, and disciplined expansion.

“The revenue is already there,” Chang continued. “These are not speculative concepts. Peppermint Hippo and its affiliated brands are operating real locations, serving real customers, and generating meaningful revenue across multiple markets. The opportunity now is to bring that operating experience into a larger public-company platform that can support acquisitions, branding, technology, and national expansion.”

Multi-Market Growth Creates an Acquisition Blueprint

TRWD believes Peppermint Hippo’s market-by-market expansion provides a practical blueprint for the Company’s broader acquisition strategy.

The brand has operated in major entertainment markets such as Las Vegas and Reno, regional markets such as Toledo and Neenah, tourism-driven markets such as New Orleans, and growth markets such as Pompano Beach and Fort Wayne. Las Tóxicas adds another branded concept designed to reach additional customer demographics and regional markets.

The Company believes this multi-market experience is important because the Gentlemen’s Club sector is not limited to one geography or one customer profile. Local-market venues, destination-market venues, branded concepts, and regional nightlife assets can each contribute to a broader public hospitality platform when supported by experienced operators and disciplined corporate infrastructure.

“Peppermint Hippo was built market by market,” Chang said. “The advantage of our platform is that we understand how to operate in different markets while keeping the guest experience, branding, and management standards consistent. That experience is what TRWD intends to build around as acquisitions move forward, and they are moving forward!”

Platform Divisions Designed to Support Revenue and Acquisitions

TRWD’s strategy is organized around complementary divisions designed to support direct ownership, management income, brand expansion, and operational efficiency.

Venue Acquisition and Ownership

TRWD intends to acquire revenue-generating Gentlemen’s Club and adult nightlife venues, beginning with Peppermint Hippo-branded and affiliated assets. Each acquisition is expected to be evaluated based on operating history, licensing, compliance, revenue contribution, management quality, and ability to integrate into the Company’s broader public platform.

Club Management Group

TRWD’s Club Management Group is designed to work with independent adult nightlife operators before formal acquisition. Through management services agreements, the division is intended to improve operations, implement financial controls, strengthen branding, and prepare select venues for potential future acquisition. This approach gives TRWD a potential management-fee revenue stream while developing a pipeline of acquisition-ready Gentlemen’s Club targets. The company is in negotiations with operators at this time and plans to announce contracts shortly.

Brand and Concept Expansion

Through Peppermint Hippo, Las Tóxicas, and future affiliated concepts, TRWD intends to support a multi-brand hospitality platform capable of serving different customer demographics and regional markets. This structure allows the Company to pursue growth through established brands while maintaining flexibility across different venue formats and market profiles.

Technology and Guest Engagement

TRWD has advanced the development of a nightlife reservation and customer engagement platform intended to support table reservations, VIP bookings, guest retention, loyalty programs, digital marketing, and operational visibility across affiliated venues. The Company believes technology will help modernize the Gentlemen’s Club experience while improving customer engagement and management efficiency.

Corporate Infrastructure Supporting the Next Phase

TRWD has taken several recent steps designed to support its transition into a national adult hospitality platform, including relocating its corporate headquarters to Las Vegas, Nevada, appointing Peppermint Hippo founder Alan Chang to its Board of Directors, launching its Club Management Group, filing to update its SIC classification, and reserving the name ARC Entertainment Group as the intended corporate identity for the next phase of the Company’s platform.

The Company believes these actions support the same strategic objective: creating a public-company structure for the acquisition, management, branding, and scaling of Gentlemen’s Club and adult nightlife assets.

“Las Vegas is the center of adult nightlife, hospitality, entertainment, and customer experience,” Read added. “Relocating TRWD’s corporate presence to Las Vegas places the Company closer to Peppermint Hippo’s flagship operation and strengthens our ability to build the next phase of this platform from the market where the industry is most visible.”

Public-Company Structure for a Historically Private Industry

TRWD believes many public-market participants remain unaware that the Gentlemen’s Club sector includes established brands, multi-location operators, significant annual revenue, and potential consolidation opportunities.

The Company’s objective is to build a public reporting structure around these assets so venue performance, acquisitions, management services, brand expansion, and corporate development can be evaluated through a more transparent framework.

“This is not about treating the Gentlemen’s Club industry as a novelty,” said Read. “It is about recognizing that these are operating businesses with proven revenue numbers, real customers, real locations, and real expansion potential. TRWD is building a platform designed to bring that industry into a more transparent and scalable public-company model.”
