Joseph Stone Capital reviews eight questions investors can use to evaluate any private placement, any seller and any offering document before committing capital
GARDEN CITY, NY, UNITED STATES, October 21, 2026 /EINPresswire.com/ — GARDEN CITY, N.Y., October 21, 2026 — Joseph Stone Capital, LLC, a full-service broker-dealer, today reviewed the questions it believes every investor should ask before investing in a private placement. Private offerings are sold under exemptions from registration, so investors often receive less information than they would for a publicly traded security.
“Joseph Stone Capital believes the best review of any private investment starts with the investor’s own questions,” the firm said. “A good offering should hold up to all of them.”
Joseph Stone Capital’s eight questions:
1. Is the seller registered? Investors can look up any brokerage firm and representative for free on FINRA BrokerCheck (brokercheck.finra.org). FINRA also warns that scammers may misuse the names of real firms and professionals, so confirm you are dealing with the firm itself.
2. Where are the offering documents? FINRA lists an offer of a private placement with no offering documents as a red flag. Read the private placement memorandum and subscription agreement in full.
3. What exactly am I buying, and how does it make money? FINRA advises that investors should fully understand what an investment is, what its risks are and how it makes money. If the answer is unclear, that is an answer.
4. How and when can I get out? Private securities may have transfer restrictions and no ready buyer. Investors should be prepared to hold the investment indefinitely.
5. What are all the fees? Ask about placement fees, management fees, carried interest and any fees charged by a fund or special-purpose vehicle.
6. Is this in my best interest? A recommendation should fit the investor’s age, finances, objectives, risk tolerance, liquidity needs and experience.
7. Where does my money go? FINRA cautions investors to be extremely wary of any request to send money to an individual personally rather than through a registered firm.
8. Am I being rushed or promised anything? FINRA says no reputable professional should pressure an investor to “act now,” and that guarantees of performance are a warning sign. All investments carry risk.
“Asking these questions is not a sign of distrust,” the firm said. “It is how careful investors protect themselves, and any firm should welcome them.”
